Driving School Franchise Agreement

Parties and Purpose

The agreement creates a professional relationship and grants a non-exclusive, non-transferable franchise to operate using the Pass2Success brand.

02 The Instructor

The self-employed driving instructor entering into the franchise agreement.

Agreement Purpose

This agreement creates a professional relationship between Pass2Success and the Instructor, granting a non-exclusive, non-transferable franchise to operate as a self-employed driving instructor using the School’s brand.

Commencement and Termination

  1. The agreement starts on the acceptance date and continues for the initial term stated in Schedule 1.
  2. Either party may terminate at the end of the initial term by giving four weeks’ notice.
  3. If no notice is given, the agreement automatically renews for subsequent terms. Four weeks’ notice is required to terminate a renewal term.

Payments and Franchise Fee

  1. The initial franchise fee is fixed for the agreed term.
  2. Any change to the fee for the following term will be communicated at least four weeks in advance.

Vehicle Requirements

  1. The Instructor must provide a dual-controlled vehicle that meets the School’s standards.
  2. The Instructor is responsible for all vehicle-related costs, including purchase or finance, insurance, fuel, maintenance, repairs, servicing and roadworthiness.
  3. The School may reject any vehicle that does not meet its safety, quality or presentation standards.

Use of the School’s Brand and Intellectual Property

  1. The Instructor may only use the School’s name, branding and intellectual property with written consent.
  2. The Instructor must protect the reputation and goodwill of Pass2Success at all times.
  3. The School may amend the agreement by giving four weeks’ notice.
  4. The agreement is personal to the Instructor and cannot be transferred.
  5. The Instructor must not hold a franchise with another driving school while this agreement remains in force.

School’s Responsibilities

  1. The School will provide reasonable support and advice to the Instructor.
  2. The School will provide necessary materials and advertising tools relevant to the franchise arrangement.

Instructor’s Responsibilities

  1. Attend required workshops at the Instructor’s own expense.
  2. Maintain a professional image and wear the required uniform.
  3. Maintain a suitable mobile phone for business communication.
  4. Operate the business professionally, ethically and lawfully.
  5. Follow School policies and deal with complaints promptly.
  6. Keep the tuition vehicle clean, safe and presentable.
  7. Do not refer pupils to third-party instructors without prior approval.
  8. Maintain a valid driving instructor licence and any other legally required authorisation.
  9. Do not allow smoking in the tuition vehicle.
  10. Do not use a mobile phone while delivering lessons, except where lawful and necessary for an emergency.
  11. Provide suitable test-pass photographs and testimonials for School social-media and marketing use, subject to obtaining the appropriate pupil consent.

Pupil Introduction Service

  1. The School offers a Pupil Introduction Service, subject to availability, between 8:00am and 8:00pm, excluding Christmas Day and New Year’s Day.
  2. The franchise does not guarantee a minimum or maximum number of pupils.
  3. The School does not guarantee a fixed number of lesson hours for any pupil introduced to the Instructor.
No Guaranteed Pupil Volume

Pupil demand may vary by area, season, instructor availability, transmission and market conditions.

Confidentiality

  1. The Instructor must keep confidential all non-public information belonging to the School.
  2. The School will protect the Instructor’s personal information, except where disclosure is required by law or reasonably necessary for administering the agreement.

Standards and Recordkeeping

  1. Lessons must be at least one hour long.
  2. Only one pupil may receive tuition during a lesson.
  3. The Instructor must respond to pupil enquiries within 24 hours.
  4. The Instructor must maintain accurate financial, diary and business records.
  5. The Instructor must follow School policies relating to customer service and lesson quality.

Policy Updates

  1. The School may update its policies by giving four weeks’ notice.

Booking and Pricing

  1. The Instructor must accept or respond to new pupil notifications within 24 hours.
  2. The Instructor must maintain an accurate, up-to-date diary to prevent clashes and missed bookings.
  3. The hourly lesson rate is set by the School and may be reviewed by giving four weeks’ notice.

Termination

  1. Either party may terminate the agreement by giving four weeks’ written notice.
  2. Termination during a renewal term also requires four weeks’ written notice.
  3. The School may terminate immediately where the Instructor:
    • breaches the agreement;
    • commits a criminal offence or brings the School into disrepute;
    • fails a DVSA test relevant to continued authorisation;
    • commits professional negligence; or
    • defaults on financial obligations.
  4. On termination, the Instructor must:
    • return all School materials;
    • remove all School branding from the vehicle;
    • refund unused pupil payments where applicable; and
    • settle all outstanding debts and liabilities owed under the agreement.

Marketing and Copyright

  1. The School owns all intellectual property, copyright, trade names, logos and brand rights connected with Pass2Success.
  2. Advertising or promotional activity using the School’s name or branding requires prior consent.

Governing Law and General Provisions

  1. A failure or delay in enforcing a provision does not amount to a waiver of that provision.
  2. If any provision becomes invalid or unenforceable, the remaining provisions continue in force.
  3. The agreement is governed by the laws of England and Wales.
